Terms of Service

These Terms of Service ("Terms") form an agreement between you and BrokerBooks Pro Canada Inc. ("BrokerBooks", "we", "us"), a federally incorporated Canadian company with its registered office in Mississauga, Ontario. By creating an account or using the Service you agree to these Terms.

1. Description of Service

BrokerBooks is a financial organization and expense tracking tool designed for Canadian real estate professionals and other self-employed individuals and small business owners.

2. Not Professional Advice

BrokerBooks is a record-keeping tool only. It does not provide tax advice, accounting advice, or legal advice of any kind. You must consult a qualified Chartered Professional Accountant for tax matters. BrokerBooks Pro Canada Inc. is not responsible for any tax filings, penalties, or financial decisions made based on information generated by the Service.

3. Documents Forming This Agreement

The Disclaimer and the Privacy Policy are incorporated into and form part of these Terms. Where these Terms and the Disclaimer address the same subject, these Terms govern.

4. Account Registration and Eligibility

You must provide accurate information at signup and keep your credentials secure. You are responsible for all activity under your account.

• The account holder must be at least 18 years of age.
• Accounts are personal to the account holder and may not be shared, except as expressly permitted under a Family plan (section 5).
• Where a Family plan includes a person under 18, the adult account holder remains solely responsible for that person's use of the Service and for all data entered. We do not issue separate credentials to anyone under 18.

5. Family Plans

A Family plan is a single shared account for one household. Permitted users are the account holder, members of the account holder's household, and the account holder's adult children regardless of where they live. Use by those people is authorized and is not prohibited account sharing under section 8.

• One account holder is responsible for the subscription, for billing, and for all activity on the account.
• All members share one login and one data set. The Service does not provide separate user profiles, separate permissions, or separate audit trails within a Family account.
• A Family plan may not be shared with colleagues or business partners, and may not be used to operate a brokerage or to service clients.
• Two registrants who file GST/HST separately each need their own Professional account. A Family plan is not suitable for that.

6. Free Trial

Trial length depends on where you sign up.

Trials are limited to one per person. We may change or withdraw trial offers for new signups at any time; a change never affects a trial already in progress.

7. Subscriptions, Billing and Cancellation

7.1 Subscriptions purchased on our website

Billing is processed by Stripe. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time in Settings; access continues to the end of the period already paid for. No partial refunds are provided for unused months on annual plans except where required by applicable law. Refund requests may be sent to support@brokerbooks.ca within 7 days of a charge and are considered on their merits. We will give at least 30 days' notice by email before any price increase takes effect.

7.2 Subscriptions purchased through the App Store or Google Play

If you subscribed inside our iOS or Android app, your subscription is billed by Apple or Google and is governed by their terms in addition to these.

• Cancelling in our app's Settings will not cancel that subscription. You must cancel through your Apple ID subscription settings or your Google Play subscriptions page, at least 24 hours before the renewal date.
• Refunds for those charges are issued by Apple or Google under their own policies. We are not able to refund them and cannot override their decision.
• Prices in the apps may differ from prices on our website.

7.3 Your statutory rights

Nothing in this section limits any right you have under the Consumer Protection Act, 2002 (Ontario) or other consumer protection legislation that applies to you.

8. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose;
• attempt to gain unauthorized access to any system, account, or data;
• upload malicious code or otherwise interfere with the Service;
• share your account outside the people permitted under section 5, or resell or provide access to the Service as a service to third parties.

9. Your Data

You retain full ownership of all financial data you enter into BrokerBooks. We claim no ownership over your data. You can export your data at any time, including after a trial or subscription has ended.

When you delete your account, we delete your account data within 30 days, except for records we are required to retain to meet a legal or regulatory obligation — including receipt images and financial records retained for the periods set out in the Privacy Policy. Records kept under that exception are retained only for that purpose, are not used to provide the Service to you, and are deleted when the retention period ends.

10. Service Availability

We work to keep the Service continuously available but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, that reports or calculations it generates are accurate or suitable for filing with the Canada Revenue Agency, or that it will meet your requirements. Nothing in this section excludes a warranty or condition that cannot be excluded by law.

12. Limitation of Liability

To the maximum extent permitted by law, BrokerBooks Pro Canada Inc. is not liable for any indirect, incidental, special, punitive, or consequential damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service.

Our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you paid us in the twelve months immediately before the event giving rise to the claim, or (b) CAD $100.

This limitation applies regardless of the legal theory advanced and even if a limited remedy fails of its essential purpose. It does not apply to liability that cannot be limited by law, and does not limit rights you have under applicable consumer protection legislation.

13. Indemnity

You agree to indemnify BrokerBooks Pro Canada Inc. against claims, losses and reasonable legal costs arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right. We will notify you promptly of any such claim and you may control its defence with counsel reasonably acceptable to us.

14. Termination

We may suspend or terminate your account for violation of these Terms. You may cancel at any time as set out in section 7. Upon cancellation your access continues until the end of the current billing period, after which no further charges apply.

15. Changes to These Terms

We may update these Terms from time to time.

• Updated Terms are posted at brokerbooks.ca/terms.html with a new "Last Updated" date.
• For any change that materially affects your rights or obligations — including price, the limitation of liability, or how disputes are resolved — we will give you at least 30 days' notice by email to the address on your account before the change takes effect.
• If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not accept them, you may cancel before the effective date and, where you have prepaid for a period extending past that date, request a pro-rated refund of the unused portion.

16. Governing Law and Forum

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You and we submit to the exclusive jurisdiction of the courts of Ontario, without limiting any right you may have to bring a claim in the Small Claims Court of your own jurisdiction where the law permits.

17. General

• Entire agreement. These Terms, with the Disclaimer and Privacy Policy, are the entire agreement between us about the Service.
• Severability. If a provision is held unenforceable, the rest remains in force.
• No waiver. Not enforcing a provision is not a waiver of it.
• Assignment. You may not assign these Terms. We may assign them to a successor in connection with a merger, reorganization, or sale of all or substantially all of our assets, on notice to you.
• Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control.
• Survival. Sections 2, 9, 11, 12, 13, 16 and 17 survive termination.
